Terms of Service

Introduction

These Terms of Service (the "Terms") set out the conditions for using Tabikit (the "Service"). Please read these Terms carefully before using the Service. By using the Service, you are deemed to have agreed to these Terms.

Article 1 (Definitions)

The following terms have the meanings set out below. 1. "Service" means the service named Tabikit provided by the Operator, including the service under any changed name or with any changed content, regardless of the reason for the change. 2. "User" means an individual or legal entity that agrees to these Terms and uses the Service. 3. "Operator" means the individual who provides and operates the Service. The Operator's name will be disclosed without delay by email or other means upon request through the contact channel at the end of these Terms. 4. "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights and other intellectual property rights, including rights to acquire such rights or to apply for their registration or other protection.

Article 2 (Eligibility)

1. The Service may only be used by persons aged 13 or older who agree to these Terms. 2. Users under the age of 18 must obtain prior consent from a parent exercising parental authority or another legal representative before using the Service.

Article 3 (Use of the Service)

1. Users may use the Service within the scope of these Terms and in the manner specified by the Operator. 2. Users are responsible, at their own expense, for preparing and maintaining the computers, software, other equipment, communication lines and other communication environments necessary to use the Service.

Article 4 (Prohibited Acts)

When using the Service, Users must not engage in any of the following acts or any acts that the Operator determines fall within the following categories. 1. Acts that violate laws or regulations or relate to criminal activity 2. Fraud or threats against the Operator, other Users of the Service or other third parties 3. Acts contrary to public order or morals 4. Acts that infringe the Intellectual Property Rights, portrait rights, privacy rights, reputation or other rights or interests of the Operator, other Users of the Service or other third parties 5. Sending information through the Service to the Operator or other Users that falls within, or that the Operator determines falls within, any of the following categories: - Information containing excessively violent or cruel expressions - Information containing computer viruses or other harmful computer programs - Information containing expressions that damage the reputation or credibility of the Operator, other Users of the Service or other third parties - Information containing excessively obscene expressions - Information containing expressions that encourage discrimination - Information containing expressions that encourage suicide or self-harm - Information containing expressions that encourage improper use of drugs - Information containing antisocial content that causes discomfort to others - Chain messages or other information requesting its dissemination to third parties - Information containing expressions that cause discomfort to others 6. Acts that place an excessive load on the networks or systems of the Service 7. Acts that may interfere with the operation of the Service 8. Unauthorized access or attempted unauthorized access to the Operator's networks or systems 9. Impersonating a third party 10. Using the ID or password of another User of the Service 11. Advertising, promotion, solicitation or commercial activities on the Service without the Operator's prior permission 12. Collecting information about other Users of the Service 13. Acts that cause disadvantage, damage or discomfort to the Operator, other Users of the Service or other third parties 14. Providing benefits to antisocial forces 15. Acts that directly or indirectly cause or facilitate any of the preceding acts 16. Other acts that the Operator determines to be inappropriate

Article 5 (Intellectual Property Rights)

1. All Intellectual Property Rights relating to the Service belong to the Operator or parties that have licensed such rights to the Operator. Permission to use the Service under these Terms does not constitute a license to use the Intellectual Property Rights relating to the Service held by the Operator or such licensors. 2. Without the rights holder's permission, Users must not use any information provided through the Service beyond the scope of limitations on copyright permitted by copyright law, including copying for personal private use.

Article 6 (User Content)

1. Users retain copyright in the content they post or otherwise transmit through the Service, including text, images, videos and other data ("User Content"). Users grant the Operator permission to use User Content without charge only to the extent necessary to provide and maintain the Service. This use includes storage, backup, display, sharing within the scope set or specified by the User, and the reproduction, transmission, format conversion and other operations necessary for these purposes. 2. Users represent and warrant to the Operator that they have the lawful right to post or otherwise transmit their User Content and that their User Content does not infringe any third party's rights. 3. Before using User Content for advertising, promotion or case studies, the Operator will identify the content to be used, the purpose and the manner of use, and obtain the relevant User's separate prior consent.

Article 7 (Fees and Payment Methods)

1. Fees, payment methods and other payment conditions for the Service are as separately determined by the Operator and displayed within the Service or on the Operator's website. 2. If a User delays payment of fees, the User must pay the Operator late payment damages at an annual rate of 14.6%.

Article 8 (Disclaimers and Limitation of Liability)

1. The Operator makes no warranty that the Service will be suitable for a User's particular purpose; have the functions, commercial value, accuracy or usefulness expected by the User; comply with laws, regulations or industry rules applicable to the User's use of the Service; or be free from defects. 2. Where the Operator is liable for damage suffered by a User in connection with the Service due to ordinary negligence (meaning negligence other than gross negligence) of the Operator or persons engaged by the Operator, liability is limited to direct and ordinary damage suffered by the User. The maximum amount of liability is the higher of the total fees for the Service paid by that User to the Operator during the 12 months preceding the occurrence of the damage or JPY 10,000. However, the limitations on the scope and amount of compensation in this paragraph do not apply to damage caused intentionally or through gross negligence by the Operator or persons engaged by the Operator, or to damage to a User's life or body. 3. The Operator is not responsible for transactions, communications, disputes or other matters arising between a User and other Users or third parties in connection with the Service or the Operator's website, except where attributable to the Operator. Where the Operator is liable for compensation, the preceding paragraph applies. 4. Nothing in this Article excludes or limits any liability of the Operator that cannot be excluded or limited by law.

Article 9 (Suspension and Other Changes to the Service)

1. The Operator may suspend or interrupt all or part of the Service without prior notice to Users in any of the following circumstances: (1) Emergency inspection or maintenance of computer systems relating to the Service (2) Computers, communication lines or other systems cease operating due to an accident (3) The Service cannot be operated due to force majeure, including earthquakes, lightning, fires, wind or flood damage, power outages or other natural disasters (4) Other circumstances in which the Operator determines that suspension or interruption is necessary 2. The Operator may change the content of the Service or discontinue its provision for the Operator's own reasons. If the Operator discontinues the Service, the Operator will notify Users in advance. 3. If measures taken under this Article cause damage to a User and the Operator is liable for compensation, Article 8, paragraphs 2 and 4 apply.

Article 10 (Cancellation of Registration and Related Measures)

1. If any of the following circumstances apply to a User, the Operator may temporarily suspend that User's use of the Service, cancel the User's registration or terminate the service agreement without prior notice or demand: (1) The User violates any provision of these Terms (2) Any registered information is found to be false (3) The User suspends payments or becomes unable to pay, or a petition is filed to commence bankruptcy, civil rehabilitation, corporate reorganization, special liquidation or similar proceedings (4) Other circumstances in which the Operator determines that continued use of the Service, registration as a User or continuation of the service agreement is inappropriate 2. If any circumstance in the preceding paragraph applies, all obligations owed by the User to the Operator automatically become immediately due and payable, and the User must immediately pay all amounts owed to the Operator. 3. If measures taken under this Article cause damage to a User and the Operator is liable for compensation, Article 8, paragraphs 2 and 4 apply.

Article 11 (Privacy)

The Operator handles Users' personal information in accordance with the Privacy Policy separately established by the Operator. Users agree to the Operator's handling of their information in accordance with that Privacy Policy.

Article 12 (Amendments to These Terms)

1. Under Article 548-4 of the Civil Code of Japan, the Operator may amend these Terms without obtaining each User's separate consent only in either of the following circumstances: (1) The amendment is consistent with the general interests of Users (2) The amendment does not conflict with the purpose of the agreement and is reasonable in light of the need for the amendment, the appropriateness of the amended terms and other circumstances 2. When making an amendment under the preceding paragraph, the Operator will specify its effective date and announce the intention to amend these Terms, the amended Terms and their effective date before that date, by posting within the Service, on the Operator's website or by other appropriate means. 3. Before applying to a User an amendment that does not fall within paragraph 1, the Operator will obtain that User's separate consent.

Article 13 (Governing Law and Jurisdiction)

1. These Terms are governed by and construed in accordance with the laws of Japan. 2. Jurisdiction over litigation relating to these Terms or the Service is determined by the Code of Civil Procedure of Japan and other applicable laws and regulations.
